Terms of Service

1. Agreement to Terms

By accessing or using Zatabase (the "Service"), operated by Black Leaf Digital ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

The Service includes the Zatabase hybrid data and compute platform, all related APIs, documentation, SDKs, console interfaces, and any other software or services provided by the Company.

2. Description of Service

Zatabase is a hybrid data and compute platform that combines high-performance vector and relational database capabilities with ACID semantics, built-in NoSQL document and key-value surfaces with declarative projections, serverless function execution, real-time data streaming, and a container job orchestrator. The Service is provided on a cloud-hosted, credit-based pricing model.

3. Account Terms

• You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to use the Service.
• You must provide accurate and complete registration information and keep that information current.
• You are responsible for maintaining the security of your account credentials, API keys, and access tokens.
• You are responsible for all activity that occurs under your account, whether or not authorized by you.
• You must notify us immediately at [email protected] if you become aware of any unauthorized use of your account.
• Accounts registered by automated methods (bots) are not permitted.

4. Payment Terms

• Credits (ZATA): The Service operates on a credit-based system. Each operation consumes a defined number of ZATA credits as detailed on our Pricing page.
• Free Tier: We offer a free tier with limited resources. Free-tier accounts that remain inactive for more than 90 consecutive days may be suspended or deleted.
• Billing: Paid plans are billed in advance on a monthly or annual basis. Additional credit purchases are charged at the time of purchase.
• Taxes: All fees are exclusive of taxes. You are responsible for all applicable taxes, and we will charge tax where required by law.
• Refunds: Prepaid credits are non-refundable except where required by applicable law. If you believe you have been charged in error, contact us within 30 days of the charge.
• Price Changes: We may change our pricing with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. Violation of the Acceptable Use Policy may result in immediate suspension or termination of your account.

6. Your Data

• You retain all rights, title, and interest in and to your data. We do not claim ownership of any data you store on the Service.
• You grant us a limited license to host, store, process, and transmit your data solely for the purpose of providing the Service.
• You are solely responsible for the content and legality of all data stored on or transmitted through the Service.
• Upon termination, we will make your data available for export for 30 days, after which it may be permanently deleted.

7. Intellectual Property

The Service, including all software, APIs, documentation, designs, trademarks, and other intellectual property, is and remains the exclusive property of Black Leaf Digital and its licensors. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.

You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, or disassemble any part of the Service, except as expressly permitted by applicable law.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant that any defects will be corrected or that the Service is free of viruses or other harmful components.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Black Leaf Digital, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or in connection with the Service or these Terms, whether based on warranty, contract, tort, negligence, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

Our total aggregate liability for all claims arising out of or relating to the Service or these Terms shall not exceed the greater of (a) the amounts you paid to us in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless Black Leaf Digital and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any rights of any third party.

11. Termination

• You may terminate your account at any time by contacting us or using the account deletion feature in the console.
• We may suspend or terminate your account at any time for any reason, including but not limited to violation of these Terms or the Acceptable Use Policy.
• Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive, including but not limited to intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

14. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and Black Leaf Digital regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
